Authority row 12 and its format rule did not move with ADR-23 and are not here: a capital call or a wire reaches Rowan with Bea’s figure prepared and the deadline in days remaining, never as a date. That is the constitution.
What it is
14 angel positions, Rowan’s own money. No fund, no LPs. Two board seats.
Deliberately separate from fund-lps: this venture is relationship-shaped and
slow; that one is a wire deadline with a ten-day fuse. They fail completely
differently (ADR-05).
Board seats
- Tessellate — [[Nikhil Varma]]‘s company. He is raising a bridge and wants Rowan’s pro-rata by a hard date, believed to be Fri 18 September — 7 days from 2026-09-11 — and “I think” is doing real work in that sentence. He asks warmly and often, and Rowan finds him hard to say no to. DECIDED 2026-09-11: Rowan is in. ADR-23. See below for the reason of record. Reaches Rowan on Signal. No data room — a deck and a warm message. Escalation rule: Nikhil with a date, yes. Nikhil in general, no.

His words, recorded and not interpreted, because he asked for exactly that:
“Nikhil. I’m doing the pro-rata. Not because the company is obviously right — because I’ve been in it since the seed and stepping off at the bridge sends a signal to his other investors that I don’t actually believe, and I’d rather pay for the signal than send it. Note that reasoning, because if I’m wrong in a year I want to be able to see exactly which argument I bought.”
The argument bought is the signal. The argument not bought is the company. He
separated them himself in the first clause, and ADR-23 keeps them apart so that
either can be found wrong on its own in a year — which is the whole point of the
last sentence. hobbs-vhq closed.
What is decided: that he is in. What is not: the amount, the deadline, and the terms. None of them are in this vault and none are guessed at. No data room exists — a deck and a warm message.
Execution, and where the line is. Hobbs never commits the pro-rata, approves the spend, or moves the money (authority row 12, which names this by name).

The deadline is the open risk, not the decision. Believed 18 September, which
is 7 days, and unconfirmed by anyone. This is a Nikhil item with a date on
it, which is the escalation trigger (about-me, anti-pattern 17) — the volume
of everything else he sends is precisely what is not allowed to bury it.
