One question in this venture stays cross-venture: whether Tool & Die supplies
Halcyon. It is open, gated on [[Tomas Reyes]], and when it is answered it becomes
a new ADR in Atlas/decisions.md.
What it is
Precision machining, Dayton, Ohio. 22 people. Founded by Rowan’s grandfather in 1966. Rowan’s father died in 2023 and left it to him. [[Claire]] runs it.
“I own it and I don’t run it and that is an unresolved situation, not a stable arrangement.”
This is a venture in its own right, not a folder under a family estate. There are twenty-two people’s jobs in it, and filing it under the estate is precisely how Rowan has been treating it — which is the problem (ADR-05).
The three futures — undecided for four months
- Sell to a consolidator.
- Retool for aerospace.
- Wind down over five years.
2026-09-09: ADR-22 proposes option 2, and is unsigned. It separates the
direction from the Halcyon supply relationship and from Claire’s ownership, and
carries five Reverse-if conditions written at Rowan’s request.
REVERSED 2026-09-15 — ADR-25. Reverse-if 1 fired six days after ADR-22 was
written. The direction is not decided and is not Rowan’s alone to decide.
ADR-22 itself is preserved unedited at Rowan’s instruction. See below.
Claire’s view is not recorded anywhere in this vault. This note and her note
both say “Claire has a view”; neither says what it is. Superseded
2026-09-15: it is recorded, in her words. See below and [[Claire]].
Claire has a view. Rowan has been avoiding the call for four months.
There is no deadline. The only clock is Claire’s patience — and he has been
treating that as unlimited, which is not a thing patience is.
Superseded 2026-09-08. There is a deadline: the end of September. Claire set it. See below.
If option 2: becoming a Halcyon supplier is a related-party problem. [[Tomas Reyes]] is the one who will say how bad. Rowan calls him too late, every time.
2026-09-08 — Claire called and set a date
Her words, given by Rowan verbatim and kept that way:
“Rowan, I’m not asking you to decide because I need permission. I’m asking because I’m forty-two and I’ve been running someone else’s company for three years and I need to know if it’s going to be mine or if I should go.”
Answer wanted by the end of September. Full capture and what is new in it:
Atlas/people/Claire.md.
Three separable decisions, which this venture has been carrying as one. Stated as a structure, not a recommendation:
| The question | Task | Gated on | State, 15 Sep | |
|---|---|---|---|---|
| 1 | Which of the three futures — sell, retool, wind down | hobbs-m9x | nothing external | Reversed. Downstream of 3, not beside it — ADR-25 |
| 2 | Whether Tool & Die supplies Halcyon — the related-party question | hobbs-cqf | [[Tomas Reyes]] | Unchanged, undecided. Called this week |
| 3 | Whether the company becomes Claire’s, and on what terms | hobbs-s7r | nothing external | Live. She has named terms — ADR-26 |
The question Claire asked is 3. It is not 1, and it has never had a date on it until now. Decision 2 is the only one Tomas gates, and it is downstream of 1 rather than part of it.
The unspoken half
“She’s deciding alone about something she doesn’t own and isn’t properly paid for. I hadn’t assembled that sentence before. Leave it assembled.”
Claire owns none of it. Entirely Rowan’s. She draws a salary that is, by his own assessment, under market for what she does.
People
[[Claire]] · [[Tomas Reyes]] · [[Ruth]] (no legal role, every moral one)
Open threads
- The three-futures conversation. Four months old.
- Claire’s ownership and compensation. Newly named, unaddressed.
- K-1 arrives late every year and annoys the accountant.
- Ohio property tax — Claire handles; dates unknown to Rowan.
- No covenant known.
Next bet (12 months)
“A decided future, executing. I genuinely do not mind which of the three — I mind that it’s been undecided for four months.”
Tools
None. No Ashcroft email address. Claire uses Signal, and tells Rowan things on the phone, which he forgets. The floor has no system at all. This is the venture with the least digital surface and the most at stake per person.
2026-09-15 — Claire’s answer, and the reversal
Rowan sent her ADR-22 on Sunday 13 September. She read it and called. Her words, kept as hers:
“Rowan, I don’t want you to retool it for me. I want to buy forty percent of it over five years out of profit, and then I’ll retool it, and it’ll be mine to get wrong. You asked me what I wanted four months ago and I didn’t answer because I didn’t think I was allowed to want that.”
Two records, and they do different jobs.
ADR-25— the reversal. ADR-22’s Reverse-if 1 fired, six days after it was written, by the mechanism ADR-22 itself named as most likely. Decision 1 is reversed; decision 2 stands; decision 3 is superseded. ADR-22 is preserved exactly as written at Rowan’s instruction: “I don’t want ADR-22 edited into something that looks like I got it right the first time.”ADR-26— the buy-in. Opened, not decided, with her sentence as the first line of its context and nine missing inputs named, including the valuation, what “out of profit” means, what forty percent carries, and when the retool actually starts.
What she did not say. She did not reject the retool — “then I’ll retool it.” What she rejected is Rowan deciding it for her. The direction survives her view; his authorship of it does not.
Tomas is called this week. Rowan: “Tomas gets called this week, not in four
months.” hobbs-cqf. His question is now two questions — the related-party
supply exposure that ADR-22 decision 2 still turns on, and a staged transfer
of forty percent of an inherited company, which is a larger one and is not what
that task was written for.
She has had no acknowledgement. hobbs-xkw, P1 — that Rowan has the proposal
and the date she gets an answer. The answer itself is hobbs-s7r, due
30 September, fifteen days.
2026-09-20 — still none, confirmed by Rowan.
Twelve days from her 8 September ask; ten days to her deadline. The line is now
drafted in hobbs-xkw’s design field rather than in a session. Detail and the
provenance question in Atlas/people/Claire.md.
